Welcome to Moply. These Terms and Conditions ("Terms") govern your use of Moply's cleaning business management software and services ("Service" or "Services"). By accessing or using Moply, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By registering for, accessing, or using Moply, you accept and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you are prohibited from using or accessing Moply. The materials contained in Moply are protected by applicable copyright and trademark law.

2. Definitions

• "Moply", "we", "us", or "our" refers to the Moply software platform and its operators.
• "You", "your", or "User" refers to the individual or business entity that registers for and uses the Service.
• "Business" refers to your business entity that subscribes to the Service.
• "Service" refers to the Moply software platform, including all features, functionality, and services provided through the platform.
• "Content" refers to all data, information, text, graphics, and other materials that you upload, enter, or store in Moply.

3. Account Registration and Eligibility

To use Moply, you must:

• Be at least 18 years of age or have the legal authority to enter into contracts on behalf of a business entity.
• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security of your account credentials, including passwords.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or any other breach of security.

You are responsible for ensuring that all users you add to your account comply with these Terms. You may not share your account credentials with unauthorized parties.

4. Subscription and Billing

4.1 Subscription Plans

Moply operates on a subscription basis with multiple plan options, each offering different features and pricing. Pricing is flat-rate per month, with each plan including a specific number of users. An "active user" is a user account that has access to the Service and is not deactivated or deleted. If you need more users than your plan allows, you can upgrade to a higher plan.

Current subscription plans and pricing are displayed on our website and in your billing dashboard. We reserve the right to add, modify, or discontinue plans at any time. Plan features and pricing may vary, and you will be charged according to the plan you select at the time of registration or plan change.

4.2 Free Trial

New subscribers may be offered a free trial period. The duration of the trial period may vary and will be specified at the time of registration. During the trial, you can access all features of your selected plan. No payment method is required to start the trial. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription. We reserve the right to modify or discontinue trial offers at any time.

4.3 Billing and Payment

• All subscription fees are billed in Australian Dollars (AUD).
• Fees are charged monthly at a flat rate based on your selected plan.
• Each plan includes a specific number of users - you can add users up to your plan's limit.
• Payment is processed through Stripe, our payment processor.
• You must provide a valid payment method to continue using the Service after the trial period.
• If payment fails, we reserve the right to suspend or terminate your access to the Service.
• All subscription fees are non-refundable except as required by Australian Consumer Law.
• Subscription fees are charged monthly in advance or at the end of each billing cycle, depending on your plan.

4.7 Refund Policy

All subscription fees paid to Moply are non-refundable. This includes:

• Monthly subscription fees
• Fees for unused portions of your subscription period
• Fees paid after cancellation of your subscription
• Fees for plan upgrades or downgrades

However, we will provide refunds in the following circumstances as required by Australian Consumer Law:

• If the Service fails to meet a consumer guarantee under Australian Consumer Law
• If there is a major failure with the Service that cannot be remedied
• If we are unable to provide the Service as described due to circumstances beyond our control

If you believe you are entitled to a refund under Australian Consumer Law, please contact us through our contact page or support email. We will review your request and respond within a reasonable timeframe.

4.4 User Limits

Each subscription plan includes a specific number of users:

• Adding Users: You may add active users at any time up to your plan's user limit. No additional charges apply when adding users within your plan's limit.
• User Limit Reached: If you need more users than your plan allows, you must upgrade to a higher plan that supports more users.
• Removing/Deactivating Users: You can deactivate or remove users at any time. This does not affect your monthly subscription fee, which is based on your selected plan, not the number of active users.
• Billing Cycle: Each billing cycle runs for one calendar month. Your subscription fee remains constant regardless of user count changes during the cycle.
• One Invoice Per Cycle: A single invoice is generated at the end of each billing cycle for your flat-rate subscription fee.

4.5 Plan Changes

You may change your subscription plan at any time through your account settings or by contacting us. Plan changes may result in immediate proration or adjustment of your billing. When upgrading or downgrading plans, the new plan's pricing will apply to your next billing cycle or immediately, depending on the type of change.

4.6 Price Changes

We reserve the right to modify plan pricing at any time. Price changes for your current plan will be communicated to you at least 30 days in advance. Price changes will apply to your next billing cycle after the notice period. Continued use of the Service after the price change constitutes acceptance of the new pricing. If you do not agree with the price change, you may cancel your subscription before the change takes effect.

5. Use License and Restrictions

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Moply for your business operations.

You agree NOT to:

• Copy, modify, adapt, alter, translate, or create derivative works from Moply.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Moply.
• Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make Moply available to any third party.
• Remove, alter, or obscure any proprietary notices, labels, or marks from Moply.
• Use Moply for any illegal purpose or in violation of any laws, regulations, or third-party rights.
• Use Moply to transmit viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to Moply, other accounts, computer systems, or networks.
• Interfere with or disrupt the integrity or performance of Moply.
• Use automated systems (bots, scrapers) to access Moply without our express written permission.

6. Your Content and Data

6.1 Ownership

You retain all ownership rights to your Content. By using Moply, you grant us a limited, non-exclusive, worldwide license to use, store, copy, modify, and display your Content solely for the purpose of providing and improving the Service.

6.2 Data Storage and Security

We implement reasonable security measures to protect your Content. However, you are responsible for maintaining backups of your Content. We are not liable for any loss or corruption of your Content.

6.3 Prohibited Content

You agree not to upload, store, or transmit any Content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene.
• Violates any third party's intellectual property rights.
• Contains viruses, malware, or other malicious code.
• Violates any applicable laws or regulations.

7. Intellectual Property

Moply and all related software, technology, designs, graphics, logos, and content are the property of Moply or its licensors and are protected by Australian and international copyright, trademark, and other intellectual property laws. Except as expressly granted in these Terms, you have no rights to Moply's intellectual property.

8. Service Availability and Modifications

We strive to provide continuous access to Moply but do not guarantee uninterrupted or error-free service. We may:

• Perform scheduled maintenance, which may result in temporary service interruptions.
• Modify, update, or discontinue features of the Service at any time.
• Suspend or terminate your access if you violate these Terms or fail to pay fees.

We will provide reasonable notice of planned maintenance when possible. We are not liable for any damages resulting from service interruptions or modifications.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.

9.2 Termination by Us

We may suspend or terminate your account immediately if:

• You breach these Terms.
• You fail to pay subscription fees.
• You engage in fraudulent or illegal activity.
• We are required to do so by law.

9.3 Effect of Termination

Upon termination:

• Your right to access and use Moply will immediately cease.
• You may export your Content for up to 30 days after termination.
• After 30 days, we may delete your Content and account data.
• All outstanding fees remain due and payable.

10. Warranties and Disclaimers

Moply is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Merchantability, fitness for a particular purpose, and non-infringement.
• Uninterrupted, secure, or error-free operation.
• Accuracy, completeness, or reliability of the Service.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantees under the Australian Consumer Law (ACL) that cannot be excluded, restricted, or modified.

11. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for any loss of data, profits, business opportunities, or goodwill.

This limitation does not apply to liability that cannot be excluded under the Australian Consumer Law, including liability for death or personal injury caused by our negligence.

12. Indemnification

You agree to indemnify, defend, and hold harmless Moply, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of Moply.
• Your Content.
• Your violation of these Terms.
• Your violation of any third-party rights.

13. GST and Taxes

All subscription fees are inclusive of GST (Goods and Services Tax) where applicable. You are responsible for any taxes, duties, or fees imposed by any governmental authority in connection with your use of Moply, except for taxes on our income.

14. Privacy

Your use of Moply is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Moply regarding the Service and supersede all prior agreements and understandings.

15.2 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through the Service. Your continued use of Moply after changes become effective constitutes acceptance of the modified Terms.

15.3 Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.

15.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.5 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.6 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
